Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of rare-engines.com (the "Site"), your RARE POWER account, quote tools, and all transactions including sales, leases, exchanges, overhauls, and related services provided by RARE AVIATION INC. dba RARE POWER.

By accessing the Site, creating an account, submitting a quote request, or entering into any transaction with us, you agree to these Terms. If you do not agree, do not use the Site or our services.
These Terms should be read together with our Privacy Policy, Know Your Client (KYC) Policy, End User Agreement, and any specific agreements (leases, sale agreements, etc.).
1. Who We Are
RARE AVIATION INC. (doing business as RARE POWER or "RARE POWER Aircraft Engines") ("we," "us," or "our") is a U.S. company registered at 7901 4th Street N, Suite 300, St. Petersburg, FL 33702, USA.
We specialize in commercial aircraft engine leasing, sales, exchanges, pre-payment programs, and related services primarily for piston, turboprop, and helicopter engines.
2. Quotations and Orders
- A quotation constitutes a contractual offer to sell or supply the goods or services described.
- Your acceptance of a quotation (including by signing or indicating acceptance) constitutes your binding order and acceptance of these Terms and any terms stated on the quotation.
- An order is not confirmed until we have received full payment (or cleared funds as agreed) and any required KYC/EUC documentation has been satisfactorily completed.
- Quotations are valid for three (3) business days from the issue date unless otherwise stated. We reserve the right to revise prices, availability, and terms after expiry.
3. Payment Terms
Payment is required in advance (Payment in Advance / PIA) unless otherwise agreed in writing on the quotation or contract. Commitment deposits or advance payments are non-refundable except where we are unable to deliver the goods or services.
Alternative payment arrangements, if offered, will be clearly stated on the quotation.
4. Shipping, Delivery and Title
Unless otherwise agreed in writing, all goods are sold EXW (Ex Works) from the location specified. You are responsible for all transport-related costs including (but not limited to) packing, documentation, customs, duties, taxes, insurance, fuel surcharges, and inspection fees from the point of sale.
Delivery dates are approximate and subject to change. We will use reasonable efforts to meet stated lead times.
Title and risk pass to you upon our making the goods available at the EXW point (or as otherwise agreed in the contract).
5. Taxes and Duties
All taxes, duties, VAT, royalties, excise, and similar charges due up to the time of sale that are the legal obligation of the Seller are payable by us. All taxes and charges arising after the time of sale are your responsibility.
6. Exchange Cores and Core Deposits
When an exchange involves a core deposit:
- Repayment of the refundable core deposit will be processed within 7 days of our receipt of the inspection report, or may be retained as credit for future purchases at your written instruction.
- The core must be a normal, time-expired core operated in accordance with OEM approved documentation and removed for scheduled reasons.
- The unit must be complete.
- It must have been operated according to its type certificate on a civil registered aircraft and maintained by a civilly registered entity. A military premium may otherwise apply.
- Any part of the core that is damaged or unserviceable beyond economical repair (BER) may be replaced by us at market retail cost and deducted from any refundable amount. This applies to (without limitation) crankcase, crankshaft, camshaft, connecting rods, gearing assemblies, magnetos, starters, generators, and alternators.
7. Sanctions, KYC and End User Requirements
We will never knowingly sell aircraft, engines, or aviation parts to any country, organization, or person subject to U.N., U.S., EU, UAE or other applicable sanctions.
We may require Know Your Client (KYC) information and/or an End User Certificate (EUC) prior to delivery or collection. We reserve the right to cancel any sale and retain any payments received if KYC or EUC documentation is incomplete, unsatisfactory, or if sanctions issues arise.
Standard KYC forms and End User Certificates are available on this Site or upon request.
8. Specifications and "As Is"
Specifications are as supplied by the seller or manufacturer and are subject to your verification upon inspection. Aircraft engines and spare parts are offered subject to prior sale, lease, or withdrawal from the market. Prices are subject to change.
Except where expressly agreed in a written contract, goods and services are provided "as is" and we make no additional warranties beyond those required by applicable law or stated in the specific agreement.
9. User Accounts, Site Access and Acceptable Use
To access certain features (quotes, deals, KYC/KYB, documents) you must create and maintain an account via our authentication provider and complete required profile and legal acceptance steps.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable sanctions, export controls, or aviation regulations.
- Provide false or misleading information during account setup, KYC/KYB, or transactions.
- Interfere with the Site's operation or attempt unauthorized access.
- Upload or transmit malicious code or content.
10. Quotes, Calculators and Estimates
Our cost calculator and quote tools provide estimates based on the information you supply. Final pricing, availability, and terms are confirmed only in a formal quotation or contract issued by us.
11. Electronic Signatures and Contracts
We use electronic signature services (e.g., SignWell) for lease agreements, sale agreements, and other contracts. Your electronic signature is legally binding and equivalent to a handwritten signature under applicable law.
12. Intellectual Property
All content on the Site (text, images, logos, software, data) is owned by us or our licensors and protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent, except as expressly permitted for your personal business use in connection with a transaction.
13. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Site or our services, even if advised of the possibility.
Our total liability for any claim related to a transaction shall not exceed the amounts actually paid by you to us for the specific goods or services giving rise to the claim.
14. Indemnification
You agree to indemnify and hold us harmless from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, violation of law, or misuse of the Site or services.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by updating the "Last Updated" date and may be communicated via the Site, email to registered users, or a notice on the account area. Your continued use of the Site or services after changes constitutes acceptance of the updated Terms. If you do not agree to changes, you must stop using the Site and contact us to close your account where applicable.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Florida, and you consent to personal jurisdiction there.
